Overview
Our leading Finance Sector Client are long established on the island and provide specialist investment management and fund administration services to a range of private and institutional clients. They are acknowledged as one of the island's leading providers of fund administration and investment management services with a worldwide clientele.
They are currently seeking an experienced Corporate Governance Officer to join a friendly, established team.
Role Profile
- Provide administration, company secretarial and general management services to client companies and funds
- Ensure that high standards of customer service are met at all times
- Ensure compliance with applicable regulations and guidelines, and with the Company's established policies/procedures and corporate governance framework
Business Development
- Maintain a high level of service to existing clients in order to enhance the company's reputation
Client Service and Operations
- Carry out the company secretarial tasks for a portfolio of fund/company clients, including all statutory duties that span the entities life cycle from incorporation to liquidation
- Administration and management of a client portfolio as required, including shareholder servicing, stock exchange operations, contract administration, Board, committee and shareholder meetings
- Carry out more specialised duties across all the Company's fund/company clients, as may be required for the efficient operation of the team
- Support other members of the Corporate Governance team by providing cover for their own portfolio of clients
- Generally meet clients' other operational needs which the company is in a position to provide
Accounting and Finance
- Assist with the opening and operation of bank accounts of fund/company clients
- Assist and support the approval of clients' expenditure, e.g. directors' fees, consultancy fees, third party invoices
- Assistance in fulfilment of CRS/FATCA obligation, Economic Substance rules etc
Regulatory and Compliance
- Ensure compliance with the governance framework: applicable governance codes, companies acts and relevant legislation, London stock exchange rules, listing rules, market abuse rules, Isle of Man schemes, Collective Investment Scheme regulations, customer due diligence in accordance with the AML/CFT Rules and the completion of risk assessments and ongoing monitoring
- Assist the Compliance Department in the fulfilment of their duties with regards to fund/company clients
Data Protection
- Assist companies with compliance with the relevant Data Protection Legislation
Person Profile
- Working knowledge and understanding of fund administration, private and listed company administration, regulated, exempt, specialist IOM schemes, corporate structures and governance processes and procedures in conjunction with relevant legislation concerning collective investment schemes and closed ended/listed companies and the governance framework
- Working knowledge of all statutory and regulatory related obligations of IOM Companies /Funds; (UK would be beneficial)
- Working knowledge of shareholder and investor services for both listed and non listed Companies
- Working knowledge of Stock Exchange listing rules, and Corporate Governance codes
- Working knowledge of IoM Collective Investment Schemes (Funds)
- Knowledge and understanding of compliance issues as they relate to the provision of fund services
- Good communication skills both verbal and written
- Coordination of meetings (Board, committees, AGMs, minute taking skills, follow up actions)
- Excellent planning and organisational skills
- Ability and demonstrate willingness to learn and adapt in an evolving governance environment with changing demands and priorities
- Ability to work under pressure, prioritise, with the ability to manage your workload within specific timing deadlines
